Welcome to Monaco CPA. These Terms and Conditions ("Terms") govern your use of services provided by Gregory Monaco, CPA LLC, doing business as Monaco CPA ("we," "our," "us," or the "Firm"), and your use of our website at www.monacocpa.cpa.
By engaging our services or using our website, you agree to these Terms. If you do not agree, please do not use our services or website.
Services
Scope of Services
We provide accounting, tax preparation, tax planning, bookkeeping, advisory, and related professional services as described in individual engagement letters or service agreements. The specific scope of each engagement is defined in the applicable engagement letter, which supplements these general Terms.

Professional Standards

Client Responsibilities
Accurate Information
You agree to provide complete, accurate, and timely information necessary for us to perform our services. This includes:

Source documents for tax preparation

Access to financial records for bookkeeping services

Responses to our questions and document requests

Notification of changes affecting your tax or financial situation
Timely Cooperation
You agree to cooperate in a timely manner, including:

Providing requested documents within reasonable timeframes

Responding to questions and communications promptly

Reviewing and approving deliverables before filing deadlines

Making decisions necessary for us to complete our work
Document Retention
You are responsible for retaining copies of all documents you provide to us and all final deliverables we provide to you. While we maintain records in accordance with professional standards, you should not rely on us as your sole repository for your financial records.
Fees and Payment
Fee Structure
Fees for services are quoted in your engagement letter and may be structured as:

Fixed fees for defined scope of work

Monthly retainer for ongoing services

Hourly rates for advisory or consultation services
All fees quoted exclude sales tax if applicable.
Payment Terms
Unless otherwise specified in your engagement letter:

Invoices are due upon receipt

Payment is due within 15 days of invoice date

We accept check, ACH transfer, and credit card payments

Late payments may be subject to a service charge of 1.5% per month

We maintain strict confidentiality of client information in accordance with:

Limitation of Liability

Our liability for any claim arising from our services is limited to the fees paid for the specific services giving rise to the claim

We are not liable for consequential, incidental, indirect, special, or punitive damages

We are not liable for damages arising from your failure to provide accurate and timely information
Tax Positions
Tax returns are prepared based on information you provide and applicable tax law. We use professional judgment in applying tax law to your situation. However:

We do not guarantee that tax positions taken will be accepted by taxing authorities

We are not responsible for additional taxes, interest, or penalties resulting from audit adjustments, unless caused by our error

Tax law may change or be interpreted differently than our understanding at the time of preparation
Dispute Resolution
Informal Resolution
We value our client relationships and encourage addressing any concerns directly. Please contact us to discuss any issues before pursuing formal dispute resolution.
Governing Law
These Terms are governed by the laws of the State of New Jersey, without regard to conflict of law principles.
Jurisdiction
Any legal action arising from these Terms or our services shall be brought in the courts of Essex County, New Jersey, or the United States District Court for the District of New Jersey.
Termination
By Either Party
Either party may terminate an engagement with written notice. Upon termination:

You are responsible for fees for services rendered through termination date

We will provide reasonable assistance in transitioning to another provider

Our confidentiality obligations continue after termination
By Us
We reserve the right to terminate services immediately if:

You fail to pay fees when due

You fail to provide information necessary for us to complete work

Continuing the engagement would violate professional standards or law

The client-professional relationship has broken down
Modifications to Terms
We may modify these Terms at any time by posting updated Terms on our website. Material changes affecting current engagements will be communicated to you directly. Continued use of our services after changes constitutes acceptance of modified Terms.
